HOLA25 SRL
Str. Dealului nr. 8, Fărcășești, Gorj County, 217235, Romania
Tax ID (CUI/CIF) 54114659 · Trade Register J2026013417000 · CAEN 6310
These terms (the “Teacher Terms”) supplement the General Terms, Refund Policy, Content Policy and Privacy Policy. They do not govern unpaid Trial Lesson participation, which has separate terms. Capitalised terms have the meanings given in the General Terms, which are incorporated into the Teacher Terms by reference.
To sell, the Teacher declares professional activity through a tax form accepted under the active country policy, supplies complete legal/tax identity and completes payment-processor verification. In the initial Romanian phase, only Teachers organised as a PFA, II or SRL and accepted in onboarding may sell; a profile or classified alone grants no selling right.
Every subject/offer must be active and approved with a current tax and document decision. It may remain visible to the Teacher as a draft but is hidden from Students and cannot be bought while documents, VAT treatment or approval are missing. HOLA25 does not infer an education exemption from a subject name or Teacher declaration.
Tax or administrative acceptance does not certify diplomas, teaching quality or outcomes. The Teacher is responsible for professional claims and legally required authorisations.
HOLA25 may establish, update, and repeat acceptance criteria that differ by product, subject, country, capacity, and risk. We may request documents or declarations about identity, age, contact details, residence and the right to provide services, tax form and payment account, declared preparation or experience, safety and conduct, availability, attendance, response speed, delivery history, and technical readiness, as well as a demonstration or training. Meeting criteria does not guarantee acceptance or continued access and does not certify qualifications. These checks concern teaching through Platform products and are separate from merely publishing a classified. For new data, the applicable privacy notice is presented before collection; reasons and an appeal route are provided where the law requires.
The Teacher contracts directly with the adult Buyer and supplies the 1:1 Lesson or Group Lesson in the order. The Teacher authorises HOLA25 to display the offer and identity, facilitate contract formation, collect the price in the Teacher's name and send confirmations, cancellations, refunds and operational messages allowed by these Terms.
Confirmed payment to HOLA25 for an identified order discharges the Buyer's payment duty to the Teacher to that amount. HOLA25 cannot change essential delivery or bind the Teacher beyond the express mandate. The Teacher must not present HOLA25 as the Provider.
The Teacher is an independent contractor, not an employee, partner or franchisee, and independently organises content and availability while honouring accepted orders, safety, law and Platform standards.
The Teacher controls teaching method, the schedule made available, and their own resources, bears the economic risk of the activity, and is not subordinate to HOLA25, subject to accepted bookings, safety requirements, and Platform rules. Apart from the limited mandate granted to HOLA25 for display, contract formation, and collection, the Teacher is not HOLA25's agent, representative, or person authorised to bind HOLA25.
The Teacher is responsible for legally registering the activity, required authorisations and records, issuing and correcting their documents, declarations, taxes, and contributions. The label given to the relationship in these Terms does not itself guarantee any legal or tax classification; classification follows the actual facts and applicable law, and the parties must adapt the relationship if a competent authority determines otherwise.
The Teacher configures price within allowed limits and currency. The final screen shows the Buyer total and tax; the agreed commercial schedule shows the HOLA25 commission, commission VAT, approved discounts, transfer, threshold and timing. A discount cannot retroactively change a taxable base without recalculation and corresponding documents.
Collection uses the connected account and approved agent parameters. The Teacher authorises fees, refunds, reversals and balance debits only within the separately accepted Stripe Connect debit/reversal declaration. A negative balance, chargeback, fraud or legal duty may suspend transfer, with reasons and calculation.
HOLA25 does not own the Teacher's price except its commission and amounts this agreement or law permits it to hold. Records separately show Buyer price, Teacher VAT, net commission, HOLA25 VAT, refund and transfer.
The Teacher maintains legal form, country, tax ID, VAT status, payout account, e-Invoice/AMEF route and evidence. VAT registration alone does not decide 1:1 Lesson or Group Lesson treatment; exemption, standard rate, reverse charge or another treatment applies only under the applicable tax decision for the Provider, product and, where relevant, subject.
The Teacher determines the document duty for each sale. Where a fiscal document is mandatory or must be issued at the Buyer's request, the Teacher draws it up, numbers, delivers, reports and corrects it within the deadlines and systems required in the Teacher's jurisdiction, including RO e-Factura or AMEF where applicable. HOLA25 does not use the Teacher's fiscal credentials, issue the document in the Teacher's name or submit it to ANAF or a foreign authority.
After collection, HOLA25 sends the Buyer a payment confirmation that identifies the Teacher, order, amount, date and payment status and is clearly marked as non-fiscal. The HOLA25 confirmation or Stripe evidence is not an invoice, fiscal receipt or other fiscal document and does not replace one. If a Buyer requests an invoice, HOLA25 securely forwards the request and necessary billing details to the Teacher; the Teacher fulfils it within the legal deadline and is responsible for delivering the document. HOLA25 separately issues the Teacher its commission-service document.
The Teacher promptly checks the payment record and forwarded details, avoids duplicates and retains the Teacher's own documents as required by law. A confirmed error, refund or chargeback is reflected in the Teacher's correcting document, unambiguously linked to the original; HOLA25 supplies the transaction data and separately corrects its commission document where required.
The Teacher reports a change before it takes effect. If ANAF/VIES or another validation service is unavailable, we do not assume non-registration; we use a non-expired prior result only where policy permits, or block new sales until revalidation. Historic transactions retain their original tax snapshot.
The Teacher may confirm this agreement before or after profile checks. Selling separately requires an agreement confirmation, administrative approval, fiscal configuration, and completion of the applicable Stripe Connect, DAC7, and documentation requirements. A missing operational condition blocks selling without affecting strictly off-Platform classifieds.
By ticking the agreement and pressing “Confirm”, the Teacher agrees to these terms. We notify the Teacher about significant changes to the mandate, issuer, commission, accessible data, or reporting duties.
The Teacher maintains availability, accurately describes subject, level, duration, capacity and conditions, responds within the stated time, joins on time, remains for the confirmed interval, and respects the booked duration. The Teacher maintains adequate equipment and connectivity, promptly reports technical or safety issues, and must not request off-Platform payment or card data, discriminate, or harass participants.
For Group Lessons, every seat is a separate sale to the identified Payer. The Teacher respects capacity, minimum attendance, event-cancellation rules and Student confidentiality. Where the family flow is available and an adult buys for a child, the adult is the Buyer and Payer, and the child is the Student beneficiary; the fiscal document addresses the adult.
If a Student breaches rules, disrupts the lesson, or creates a risk, the Teacher may remove the Student from the live room and block re-entry only for that lesson, using the available control and reporting the incident. This does not automatically cancel the booking or itself decide a refund; HOLA25 separately reviews the facts, evidence, and accepted rules. Teacher lateness, leaving early, repeated failure to respect duration, cancellations, or no-shows may lead to new enrolments being stopped, teaching being restricted or suspended, and affected future bookings being cancelled with a full refund for every paid seat under the current administrative-cancellation rule.
Recording through the Live Lesson Service is a mandatory characteristic of 1:1 Lessons and Group Lessons sold through this flow. The Teacher separately acknowledges the recorded format before activation or room access, and the Buyer separately accepts it before checkout. Where the Buyer is a child's parent or legal guardian, the adult makes the required acceptance for that child and the child receives age-appropriate notice. That acknowledgement proves the characteristic was presented; the processing grounds are explained in the Privacy Policy and do not arise from the checkbox alone. The recording captures only audio, video, and screen content the Student enables; the camera may remain off where the room permits. Mandatory acceptance permits the 1:1 Lesson or Group Lesson and the contractual uses described here; it is not permission for publication, advertising, or training people or systems. Any such use requires separate, express, purpose-specific permission from every identifiable person and, for a minor, from the parent or legal guardian authorised to act for that minor.
The Teacher and the Student authorised for the segment may access the recording; authorised Hola25 personnel may review it only for safety, refunds, or disputes. Segment authority is based on service state and does not guarantee playback corresponding second by second to each person's presence. Authenticated Payer-parent access is determined from the technical association among the Payer, child, booking or seat, and available records. The file may cover a wider or narrower interval than actual presence and may contain delays, gaps, or errors; in a Group Lesson it may include other authorised participants. Any incorrect access or delimitation must be reported immediately. In a Group Lesson, each segment's authority is fixed when it starts for the accepted Students present then. If a new Student joins later, the current segment stops and a new one starts for the cohort then present; the new Student receives no access to earlier segments. A Student who is already authorised may leave or reconnect without that event alone rotating the segment or expanding its authority, and remains authorised for the entire existing segment until a later rotation. The shared segment may include the other Students' voice, image, and contributions. The Teacher must not make local copies, capture playback, or publish or redistribute the recording or any excerpt. Under the current configuration, access, playback, and review end no later than 90 days after the 1:1 Lesson or Group Lesson, and the file becomes unavailable. The deletion process attempts physical erasure through the Live Lesson Service or Private Recording Storage; absent confirmation, the operation is retried and escalated without restoring access. There is no legal hold of the video file after the deadline. Until a future technical activation, only separate evidence that is not the video file may remain longer under the Privacy Policy and law. HOLA25 may later introduce a restricted legal hold beyond 90 days only after activating the technical control and updating the notice, terms, and, where required, acceptance. Such a hold would not extend Teacher or Student access and would be limited to need-to-know staff, advisers, Technology Providers, and authorities for a claim or legal duty. A device, network, service, processing, or storage failure may delay synchronisation, create gaps or errors, or mean that no usable recording exists. The Teacher promptly reports any missing recording, incorrect access, or playback issue in the Account or to support; HOLA25 does not guarantee recording availability or completeness. The Teacher avoids exposing bystanders or private background, follows the Child Safety Standards and immediately reports safety incidents.
For eligible paid 1:1 Lessons, HOLA25 may generate a Romanian-language transcript and AI summary draft after the 1:1 Lesson. Eligibility is not limited to Premium Teachers. Before publishing, the Teacher reads and checks the draft against the 1:1 Lesson, corrects errors, and removes excessive, manifestly inaccurate, offensive, or sensitive information that is unnecessary for educational progress. The Teacher may republish a corrected version; the Student sees only the latest published version. The Teacher may publish the reviewed summary to the Student file and is responsible for the edited text they publish. The Teacher must not use the transcript or summary as a grade, ranking, protected-trait inference, or automated decision and must not redistribute it outside permitted access. The function may be unavailable or produce errors; HOLA25 does not guarantee generation, and its unavailability alone does not turn a supplied 1:1 Lesson into an unperformed 1:1 Lesson.
The Teacher authorises HOLA25 to present and administer the consumer's early-performance request and online withdrawal function within law and the mandate. Withdrawal before full performance may require only the lawful proportionate amount; loss of the right after full performance requires the applicable express declarations.
Exact cancellation, no-show, rescheduling, technical-failure and refund rules appear before ordering and, once accepted, govern that purchase. HOLA25 may change rules only prospectively for future orders, and the Buyer checks the Policy and summary shown before a new payment while the Teacher receives the applicable notice. The Teacher supplies evidence and cooperates with complaints, dispute mediation, and chargebacks, and accepts HOLA25's contractual outcome subject to mandatory law. HOLA25 may execute a refund in the Teacher's name and adjust settlement; the Teacher issues and reports the correction of the document for the Buyer, while HOLA25 separately corrects its commission document where required.
HOLA25 decides restrictions, cancellations, and disputes case by case under the facts and evidence, including abuse or rule breaches by the Student, Payer, or Teacher. Under the current rules, an administrator cancellation gives a full refund for every affected paid seat. If the decision on a dispute about a 1:1 Lesson or Group Lesson seat includes a refund, that refund is full for the affected seat. A decision or initiation does not guarantee instant credit: processing may remain pending, require remediation, or fail technically, and HOLA25 checks the status and retries or communicates required steps.
The main classifieds ranking parameters are Premium status, offer type (1:1 and group lessons, Trial Lessons, or plain classified) and freshness. Premium is paid influence and is indicated. User filters may narrow results; no behavioural personalisation is used in this ranking, and no rank, view or sale is guaranteed.
HOLA25 may display its own products, including Trial Lessons or ancillary services. Offer type may prioritise offers that can be booked through Hola25, as disclosed above. We do not use the Teacher's confidential commercial data to compete beyond Platform operation, safety and aggregate improvement.
HOLA25 may prospectively change ranking rules and, after implementation and notice, consider profile completeness or a profile photo, availability and activity, response speed, punctuality, reliability, reviews, and quality, safety, or compliance signals. The main parameters and their relative importance are explained when they change. Labels such as “Top Teacher” or “Responds quickly” may highlight disclosed criteria and measurement periods, may be recalculated or removed, and are not verification, certification, individual endorsement, or an outcome guarantee.
After completing at least one Booking through Hola25 (Trial Lesson, 1:1 Lesson or Group Lesson seat), a Student may submit one review per Student–Teacher pair. Reviews are not pre-approved, generally display newest first and may be reported, removed for fraud/rule breaches and challenged by the Teacher.
The Teacher receives identity and data strictly needed for delivery, bookings, attendance, permitted communications, the shared recording, documents and own settlement records. The Teacher receives no complete card data and must not use Student data for own marketing without a legal basis. HOLA25 accesses data needed for agency, payment, tax, DAC7, support, safety, fraud and disputes.
After termination, operational-data access closes, while both parties retain contractual, fiscal, safety and dispute records under law and the Privacy Policy. The Teacher exports data only through approved tools and preserves confidentiality after termination.
The Teacher timely supplies identification, residence, account and consideration data required for DAC7 due diligence/reporting, confirms accuracy and answers correction requests. HOLA25 may restrict selling or payout to the extent and after notices law permits while information remains incomplete or unconfirmed.
The Teacher retains required professional and tax evidence, reasonably supports audits and does not obstruct transaction documentation. HOLA25 gives no individual tax advice; the Teacher obtains advice from their accountant.
HOLA25 may reduce visibility, reject an offer, stop monetisation, remove content or suspend an Account for illegality, safety, fraud, invalid documents or breach. Where law permits, we provide a statement of reasons with facts, grounds, any automation and appeal route before or when the measure applies.
A measure may be limited to one function, subject, or product, or may affect the whole Account. For repeated response, punctuality, no-show, duration, document, or conduct failures, HOLA25 may stop offers and new enrolments and cancel affected future bookings, applying the financial outcome under the Refund Policy accepted for each booking.
The free internal complaint route is reply to the notice or contact@hola25.com and is proportionately reviewed by a person. Illegal-content notice, applicable DSA mechanisms and courts remain available. Urgent measures may protect children, prevent fraud, secure systems or meet legal duties.
HOLA25 gives at least 15 days' durable-medium notice of a material change and longer where technical/commercial adaptation requires it. Changes are not retroactive except for legal duty, urgent risk or exclusively beneficial change. Waiver by publishing a new offer operates only where Regulation (EU) 2019/1150 permits.
Restriction/suspension reasons are given before or when the measure applies. Full termination normally carries at least 30 days' reasons and notice, subject to legal-duty, urgency and repeated-breach exceptions. The Teacher may terminate prospectively after resolving bookings, refunds, documents, balances and disputes.
The P2B duty to name mediators does not apply where the statutory small-enterprise exemption applies; if it becomes applicable, HOLA25 identifies at least two mediators before the change. Court access remains unrestricted.
Activation of 1:1 Lessons or Group Lessons does not authorise another product, market, currency or channel. Any extension requires the applicable classification and documents before activation.
The Teacher is responsible for delivery, claimed qualifications, safety, the document for the Buyer and own tax. HOLA25 is responsible for its Platform, agent, collection and commission duties. No limit covers fraud, intent, injury, confidentiality breach or non-limitable liability; any additional business cap appears in the accepted schedule.
Romanian law applies. The parties first use the internal complaint route without limiting mediation or mandatory remedies. Business disputes go to the competent courts in Gorj County unless mandatory law provides otherwise. The Romanian version prevails to the extent permitted by law.
